Agreement Between Proxima Study and the Student

1. Parties Involved
This Agreement is entered into between Proxima Study ("Service Provider") and the student ("Client"), collectively referred to as "Parties."

2. Services Provided
Proxima Study offers the following services to students:

• Academic counseling
• Scholarship guidance
• Admission assistance
• Visa and travel support (if applicable)

3. Responsibilities of the Student
The student agrees to:

1. Provide accurate and truthful information during the application process.
2. Adhere to deadlines for submitting required documents.
3. Make payments for Proxima Study’s services as per the fee structure.
4. Comply with the terms and conditions of the educational institution(s) where Proxima Study facilitates admission.

4. Payment Terms

1. Fees for services must be paid upfront or as per the agreed installment plan.
2. Refunds are subject to Proxima Study’s refund policy (outlined below).

5. Refund Policy

1. Fees are non-refundable except in cases where Proxima Study is unable to provide the agreed-upon service.
2. Refund requests must be submitted in writing within 15 days of the issue.

6. Confidentiality
Proxima Study will protect the student’s personal data in compliance with applicable privacy laws.

7. Limitation of Liability
Proxima Study shall not be held liable for:

• Decisions made by educational institutions.
• Visa denials or delays caused by third-party authorities.

8. Termination
This agreement may be terminated by either party with written notice. Fees for completed services will not be refunded.

Agreement Between Proxima Study and the School

1. Parties Involved
This Agreement is entered into between Proxima Study ("Service Provider") and the school ("Partner"), collectively referred to as "Parties."

2. Services Provided
Proxima Study will:

1. Refer qualified students to the school.
2. Assist students in completing their applications and submitting required documents.
3. Market the school’s programs through its platform and network.

3. Responsibilities of the School
The school agrees to:

1. Provide accurate program details, deadlines, and tuition fee structures.
2. Timely assess and respond to applications submitted by Proxima Study.
3. Pay agreed referral fees for students successfully admitted and enrolled through Proxima Study.
4. Update Proxima Study on any changes to program requirements or policies.

4. Referral Fees

1. The school agrees to pay Proxima Study a referral fee per successfully admitted and enrolled student.
2. Referral fee rates are detailed in the attached annex.
3. Payments must be made within 30 days of invoicing.

5. Confidentiality
Both parties agree to maintain confidentiality of shared proprietary information, including student data.

6. Dispute Resolution
In case of disputes, Parties will attempt mediation before seeking legal recourse.

7. Termination
Either party may terminate this agreement with a 30-day written notice. Obligations for already referred students will remain in effect.

Agreement Between Proxima Study and the Business

1. Parties Involved
This Agreement is entered into between Proxima Study ("Service Provider") and the business ("Client"), collectively referred to as "Parties."

2. Services Provided
Proxima Study will:

1. Advertise and promote the client’s services or products to its student and institutional network.
2. Collaborate on campaigns targeting the education sector.
3. Provide analytics and reports on campaign performance.

3. Responsibilities of the Business
The business agrees to:

1. Provide accurate information about its services or products.
2. Ensure its offerings comply with legal and ethical standards.
3. Pay for Proxima Study’s services as per the agreed pricing model.

4. Payment Terms

1. Payment must be made in full before the start of any advertising or promotional campaign.
2. Late payments will incur a penalty of 2% per month on the outstanding amount.

5. Performance Guarantees
Proxima Study does not guarantee specific outcomes but will use its best efforts to achieve the agreed-upon objectives.

6. Confidentiality
Both parties agree to protect confidential information shared during the term of this agreement.

7. Termination
Either party may terminate the agreement with a 30-day written notice. Payments for completed services are non-refundable.

8. Dispute Resolution
Parties agree to resolve disputes through arbitration before seeking legal remedies.
